1. About Chilworth Venture Partners (CVP)

CVP provides introducer services that connect business owners with potential investors and private equity firms, and vice versa. We act as a strategic intermediary, facilitating introductions between parties who may wish to engage in a business transaction. 

We do not act as an agent or representative for either party and do not provide regulated investment advice.

2. Scope of Our Services

Our services may include:

• Introducing potential investors to business owners seeking funding, sale, or partnership.

• Introducing vetted business opportunities to investors or acquirers.

• Providing background information and facilitating introductions in a confidential and professional manner.

• Where appropriate, providing informal guidance or referrals to trusted advisors.

We do not conduct due diligence on behalf of either party, nor do we guarantee the suitability, solvency, or legitimacy of any party introduced. It is the sole responsibility of each party to perform their own due diligence and make their own decisions.

3. Confidentiality

All parties engaging with CVP agree to maintain confidentiality in relation to information shared during the course of our introductions. NDAs may be required before sensitive information is disclosed.

4. Fees

Our compensation may be structured as:

• A success fee contingent upon a completed transaction, and/or

• A retainer or engagement fee agreed in advance.

The exact terms, including scope and fees, will be set out in a separate written agreement specific to each engagement.

5. Limitation of Liability

To the fullest extent permitted by law:

• CVP accepts no liability for any loss, damage, or costs incurred as a result of introductions or any subsequent transactions between the parties we introduce.

• In the event of proven negligence on our part, our liability shall be strictly limited to the lower of the total amount of fees received from the relevant party or £10,000.

• We accept no liability for consequential or indirect loss, including but not limited to loss of profits, revenue, or reputation.

6. Trading Style:

Chilworth Venture Partners is a trading style of Reggie & Ronnie Limited which is a company registered in England and Wales with company registration number 13778471.

8.  Reggie & Ronnie is not authorised or regulated by the FCA.  If you are in any doubt about the contents of this website, you are strongly recommended to consult a person authorised under the Financial Services and Markets Act 2000 (“FSMA”) to give advice in relation to investment in equity and debt securities issued by unquoted single companies. 

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
